About the Webinar: S&B Engineers (and its insurers) settled a personal injury suit and then brought a contractual indemnification action against subcontractor Scallon. The parties had agreed Scallon would indemnify S&B for Scallon’s own allocable negligence only. Scallon refused to contribute, arguing that it was never sued by the plaintiffs, that S&B never designated it as a responsible third party, and that the voluntary settlement on behalf of S&B only—and not Scallon—extinguished all claims. The trial and appellate court agreed.

But in a 5-4 decision, the Texas Supreme Court reversed and remanded for further proceedings. The majority decision found that neither Beech Aircraft Corp. v. Jinkins nor Ethyl Corp. v. Daniel Construction Co. limited S&B’s claims. On remand, S&B will have the burden of demonstrating that the settlement was reasonable, entered into in good faith, and what portion of the settlement, if any, corresponded to Scallon’s negligence.
