The parties had agreed Scallon would indemnify S&B for Scallon’s own allocable negligence only. Scallon refused to contribute\, arguing that it was never sued by the plaintiffs\, that S&B never designated it as a responsible third party\, and that the voluntary settlement on behalf of S&B only—and not Scallon—extinguished all claims. The trial and appellate court agreed. \nBut in a 5-4 decision\, the Texas Supreme Court reversed and remanded for further proceedings. The majority decision found that neither Beech Aircraft Corp. v. Jinkins nor Ethyl Corp. v. Daniel Construction Co. limited S&B’s claims. On remand\, S&B will have the burden of demonstrating that the settlement was reasonable\, entered into in good faith\, and what portion of the settlement\, if any\, corresponded to Scallon’s negligence. \nHow do you preserve rights to pursue contractual indemnity after settlement? What does it mean for purposes of defending underlying personal injury suits? Will S&B v Scallon increase litigation\, or streamline it?
